Swift Cart Affiliate Program Operating Agreement
1. Description of the Swift Cart Affiliate Program
The Swift Cart Affiliate Program allows you to monetize your website, social media, blog, or other
online platforms (“Site”) by placing links to Swift Cart products (“Special Links”). When a qualifying
purchase is made through your Special Link, you earn a commission as outlined in the Commission Income
Statement. We may provide marketing materials, banners, product images, and other resources (“Program
Content”) to help you promote Swift Cart.
2. Affiliate Program Compliance Requirements
You must comply with this Agreement to participate and receive commission payments. We reserve the right
to:
- Cease payment of any and all commissions related to a violation
- Terminate your participation in the Program
- Take legal action if necessary
3. Swift Cart Customers
Customers who purchase via your Special Links are Swift Cart’s customers. You will not:
- Handle customer service inquiries for Swift Cart products
- Direct customers to non-Swift Cart support channels
4. Warranties
You represent and warrant that you:
- Will operate your Site in compliance with this Agreement
- Won’t violate any applicable laws
- Are legally able to enter into contracts
- Have independently evaluated the Program
- Will comply with export and re-export restrictions
- Provide accurate and complete information
We do not guarantee any specific traffic or commission income.
5. Identifying Yourself as an Affiliate
You must clearly state on your Site:
“As a Swift Cart Affiliate, I earn commissions from qualifying purchases.”
You will not:
- Misrepresent your relationship with Swift Cart
- Imply endorsement without written permission
6. Term and Termination
This Agreement begins upon registration. Either party may terminate at any time with notice. We may
suspend or terminate immediately for:
- Material breach
- Failure to cure a breach within 7 days
- Deceptive, fraudulent, or illegal activity
- Damage to our brand or reputation
- Tax collection requirements
Sections 3, 4, 5, 6, 7, 8, 10, and 11, along with any unpaid payments, survive termination.
7. Disclaimers
THE PROGRAM, WEBSITE, PRODUCTS, LINKS, AND CONTENT ARE PROVIDED “AS IS.” WE DISCLAIM ALL WARRANTIES,
INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
8. Limitations on Liability
WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES. OUR
AGGREGATE LIABILITY WILL NOT EXCEED COMMISSIONS PAID IN THE PRIOR 12 MONTHS.
9. Indemnification
You agree to defend and hold us harmless from any claims, damages, losses, or expenses arising from:
- Your Site or its content
- Your use of the Program
- Your violation of this Agreement
10. Governing Law and Disputes
This Agreement is governed by the laws of the People’s Republic of Bangladesh. Disputes will be
resolved in its courts.
11. Taxes
You are responsible for all taxes related to your participation.
12. Additional Provisions
- We may send Program-related communications.
- We may monitor your Site for compliance.
- We may use your logo as an example.
- Nothing here requires acting against Bangladesh law.
13. Modification
We may modify this Agreement at any time by posting notice on the Affiliate Program site or via email.
Continued participation constitutes acceptance.
Swift Cart Affiliate Program Commission Income Statement
1. Qualifying Purchases and Qualifying Revenue
Commissions are paid when a customer clicks your Special Link and makes a purchase during a single
session. Qualifying Revenue equals the amount we receive, less shipping, taxes, and fees.
2. Disqualified Purchases
- Purchases after termination
- Canceled, returned, or refunded orders
- Prohibited paid search placements
- Redirected or improperly formatted links
3. Standard Commission Income
Commissions are 20% of Qualifying Revenue (after shipping, taxes, and fees).
4. Special Commission Income or Promotions
We may offer special promotions with additional commission opportunities.
5. Commission Income Limitations
We may impose limits on commission earnings.
6. Commission Income Reporting and Payment
Monthly reports and payments are issued ~60 days after month-end via specified methods. Minimum
thresholds apply.
Swift Cart Affiliate Program Participation Requirements
1. Enrollment and Eligibility
You must submit a complete application. Unsuitable Sites include those that:
- Promote explicit, deceptive, or hateful content
- Violate intellectual property rights
- Target children without safeguards
2. Links on Your Site
- Use only properly formatted Special Links
- Do not encourage bookmarking of Special Links
- Remove links to expired promotions
3. Responsibility for Your Site
You are responsible for your Site’s content, operation, and legal compliance.
4. Promotional Limitations
You must comply with all applicable marketing laws and not engage in unapproved promotions.
5. Distribution of Special Links
You may not use Special Links in client-side software apps or set-top boxes.
6. Content on Your Site
- Do not alter or redistribute Program Content
- Do not imply endorsement beyond this Agreement
